Black Talent Initiative (BTI)

Who we are. Black Talent Initiative ("BTI") is a volunteer-run, grassroots organization founded by the President and CEO of The T1 Agency Limited. Until further notice, BTI conducts itself as a division of The T1 Agency Limited operating as T1 ("T1"). These Terms of Service ("Terms") govern your access to and use of BTI websites, applications, and services, including any BTI-related media experiences, events, conferences, or other activities made available through a BTI or T1 website (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and the T1/BTI Privacy Policy (the "Privacy Policy"), which is incorporated by reference. If you do not agree, do not use the Services.

1. Eligibility & Accounts

1.1 Minimum age

The Services are not directed to individuals under 13. If you are under the age of majority in your province/territory, you must have your parent or legal guardian's consent to use the Services.

1.2 Account registration

To access certain features (e.g., event registration, member networking, mentorship or internship programs), you may need an account. You agree to provide accurate, current, and complete information and keep it updated.

1.3 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

2. Privacy

Your use of the Services is subject to our Privacy Policy (last updated August 26, 2016), which describes how T1 (and BTI as a division of T1) collects, uses, discloses, and safeguards personal information in accordance with PIPEDA. The Privacy Policy also explains cookie and advertising technologies, social media interactions, communications, data processing by third parties (including outside Canada), consent/withdrawal of consent, and your access/correction rights. 3. Description of Services

BTI's mission is to help young Black Canadians succeed in business through networking, mentorship, internships, community events, and related programming. The Services may include:

  • User accounts and profiles for participants, mentors, employers, speakers, and volunteers;
  • Event pages, registration, tickets/passes, and on-site programming;
  • Mentorship and internship matching workflows;
  • Newsletters and communications about BTI, partners, sponsors, and suppliers;
  • Community forums, submissions, or other user-generated content spaces;
  • Integrations with third-party platforms (e.g., social media, payment processors).

No guarantee. BTI does not guarantee admission to programs, placement in internships, employment outcomes, or specific introductions or business results.

4. User Conduct

You agree not to:

  • Violate laws, these Terms, or any event or venue rules;
  • Post or transmit content that is unlawful, harassing, defamatory, hateful, discriminatory, obscene, infringing, or otherwise objectionable;
  • Impersonate others or misrepresent your affiliation;
  • Interfere with or disrupt the Services, attempt unauthorized access, or introduce malware;
  • Collect or harvest personal information of others except as permitted by law and our Privacy Policy.

We may remove content or suspend/terminate accounts for violations.

5. User Content & License

5.1 Your content

You retain ownership of content you submit (e.g., profiles, posts, messages, resumes, feedback).

5.2 License to BTI/T1

You grant BTI/T1 a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display your content in connection with operating, improving, and promoting the Services.

5.3 Representations

You represent that you have all rights necessary to grant the above license and that your content complies with these Terms and applicable law.

5.4 Feedback

If you provide ideas or suggestions, you grant BTI/T1 the right to use them without restriction or compensation.

6. Event Participation; Photo/Video; Code of Conduct

6.1 Event terms

Participation in BTI/T1 events may be subject to additional terms, venue policies, and health & safety rules. You agree to comply with all such terms.

6.2 Media release

Events may be recorded, photographed, or live-streamed. By attending, you consent to the capture and use of your image, likeness, name, voice, and statements for editorial, educational, and promotional purposes by BTI/T1 and their partners/sponsors, without compensation, as permitted by law. If you have concerns, contact us prior to the event; accommodations may be available subject to feasibility.

6.3 Respect & safety

BTI seeks inclusive, respectful environments. Harassment or abusive behaviour is prohibited. We may remove any participant who violates policies, without refund.

7. Payments, Refunds & Taxes

7.1 Payments

Certain Services (e.g., paid events) may require fees processed by third-party payment providers. You authorize such providers to charge your selected payment method for all fees, taxes, and charges.

7.2 Refunds

Except as required by law or expressly stated on the relevant event/offer page, all fees are non-refundable.

7.3 Pricing changes

BTI/T1 may modify pricing prospectively at any time. Posted changes will not affect prior purchases unless noted.

8. Intellectual Property

The Services and all content provided by BTI/T1 (including trademarks, logos, text, graphics, software, and audiovisual works) are owned by BTI/T1 or their licensors and are protected by Canadian and international laws. Except as expressly permitted, you may not use, reproduce, modify, distribute, or create derivative works from the Services or BTI/T1 content.

9. Third-Party Services & Links

The Services may integrate or link to third-party platforms, social media, or advertisers. Your use of those services is governed by their terms and privacy policies—not these Terms or our Privacy Policy. BTI/T1 is not responsible for third-party content, actions, or policies. Some service providers may process data outside Canada, as noted in the Privacy Policy.

10. Communications

By creating an account, registering for an event, or otherwise engaging with the Services, you consent to receiving transactional and informational communications (e.g., confirmations, updates, security notices). You may also opt-in to promotional communications about BTI/T1, partners, sponsors, and suppliers; you can unsubscribe at any time, subject to legal/operational notices that we must still send.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BTI/T1 AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, PARTNERS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. PROGRAM, MENTORSHIP, OR INTERNSHIP OUTCOMES ARE NOT GUARANTEED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BTI/T1 AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OR DATA; OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF BTI/T1 FOR CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BTI/T1 FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 3 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) CAD $100.

Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply to the fullest extent permitted.

13. Indemnification

You agree to indemnify and hold harmless BTI/T1 and their directors, officers, employees, representatives, partners, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights.

14. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is harmful to other users, BTI/T1, or third parties. You may stop using the Services at any time. Sections that by their nature should survive (e.g., 5–13, 15–19) will survive termination.

15. Changes to the Services & Terms

We may modify or discontinue portions of the Services at any time. We may also update these Terms from time to time. Changes take effect when posted to the applicable BTI/T1 website or app. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms. Please review periodically.

16. Compliance with Laws; PIPEDA

You agree to comply with all applicable laws and regulations. BTI/T1's collection, use, and disclosure of personal information are governed by the Privacy Policy and PIPEDA. Where third-party processors are located outside Canada, your information may be subject to the laws of those jurisdictions (as described in the Privacy Policy).

17. Beta & Experimental Features

We may offer beta or experimental features that are pre-release and may change or be discontinued at any time. They are provided "as is," and you use them at your own risk.

18. Force Majeure

BTI/T1 will not be liable for delays or failures due to causes beyond reasonable control, including acts of God, labour disputes, power outages, internet failures, pandemics, public health events, or governmental actions.

19. Governing Law & Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the provincial or federal courts located in Toronto, Ontario for any disputes arising out of or relating to the Services or these Terms.

20. General

20.1 Entire agreement

These Terms, together with the Privacy Policy and any additional event-specific terms, constitute the entire agreement between you and BTI/T1 regarding the Services and supersede prior agreements.

20.2 No waiver; severability

Failure to enforce a provision is not a waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect.

20.3 Assignment

You may not assign or transfer these Terms; BTI/T1 may assign these Terms in connection with a merger, acquisition, corporate reorganization, or asset transfer.

20.4 Notices

Legal notices to BTI/T1 may be sent to info@thet1agency.com (Attn: Privacy Officer / Legal). We may notify you via the Services, email, or the contact information you provide.
